Terms of Service
Last updated: April 20, 2026These Terms of Service ("Terms") govern your use of DulyHandled ("DulyHandled," "we," "us," or "our"). By creating an account, texting our assistant number, or otherwise using the service, you agree to these Terms. If you do not agree, please do not use DulyHandled.
1. The service
DulyHandled is a communication assistant that:
- Translates Spanish text and voice notes into English, and vice versa;
- Relays messages between a contractor account holder ("Contractor") and their clients, crew, and vendors over SMS and MMS;
- Stores a record of messages and contacts to support the Contractor's account history.
The service is intended for coordination of legitimate business communication. It is not a replacement for a licensed professional, a legal adviser, an emergency service, or a regulated communication channel.
2. SMS messaging terms
Message frequency
Message frequency is conversational and varies with Contractor activity. There is no fixed schedule of automated broadcasts.
Rates
Standard message-and-data rates from your mobile carrier may apply. DulyHandled does not charge end-recipients (clients, crew, or vendors) for messages; only the Contractor account holder pays for the service.
Consent
Contractors are responsible for obtaining consent from every person they add as a contact. By adding a contact in the DulyHandled dashboard, the Contractor confirms that the person has agreed to receive SMS from a DulyHandled assistant number. End-recipients can also consent by texting the assistant number first, which initiates the conversation.
Opting out
Reply STOP to any DulyHandled message to opt out of future messages from that assistant number. You will receive one confirmation reply, and no further messages unless you reply START to resume.
Help
Reply HELP to any DulyHandled message for contact information, or email support@dulyhandled.com.
Carrier liability
Wireless carriers are not liable for delayed or undelivered messages.
3. Accounts and Contractor responsibilities
By creating a Contractor account you agree to:
- Provide accurate information about your business and yourself.
- Keep your login credentials secure and not share them with third parties.
- Use the service only for lawful, legitimate business communication with people who have consented to receive SMS from you.
- Not use the service for marketing, promotional, political, or bulk messaging of any kind.
- Not use the service to send content that is unlawful, harassing, defamatory, deceptive, fraudulent, or infringing on third-party rights.
- Keep your contact list accurate and honor opt-out requests promptly.
4. Acceptable use
You may not:
- Attempt to reverse engineer, scrape, or probe DulyHandled's systems.
- Use DulyHandled to send content related to age-gated products (alcohol, tobacco, firearms, gambling, cannabis), high-risk financial products, or adult content.
- Use DulyHandled in a way that would violate carrier A2P 10DLC rules or applicable telecommunications law.
- Interfere with other users' use of the service.
We reserve the right to suspend or terminate accounts that violate these terms or that pose a compliance risk to carriers.
5. Third-party services
DulyHandled depends on third-party service providers to operate, including:
- SMS and MMS delivery providers that route messages between your phone and DulyHandled;
- Speech-to-text providers that transcribe voice notes into text;
- Large language model providers that produce translations and summaries;
- Cloud hosting and database providers that store your account and message data;
- Email delivery providers for account notifications.
See the Privacy Policy for the categories of data shared with each. We may change providers at any time and are not responsible for their actions, uptime, or policies.
6. AI-generated content
Translations and summaries are produced by AI. They are generally accurate but are not guaranteed. You remain responsible for what you send. We recommend reviewing drafts before using the send-on-behalf feature (DulyHandled requires you to reply YES before any draft is sent to a contact).
7. Intellectual property
You retain ownership of your messages and contact data. We retain ownership of the DulyHandled service, software, branding, and underlying systems. You grant us a limited, non-exclusive license to process your content for the sole purpose of providing the service.
8. Disclaimer of warranties
DulyHandled is provided on an "as is" and "as available" basis, without warranties of any kind. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
9. Limitation of liability
To the maximum extent permitted by law, DulyHandled will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, arising out of or related to your use of the service. Our total aggregate liability in any matter will not exceed the amount you paid us in the twelve months preceding the claim, or one hundred U.S. dollars, whichever is greater.
10. Indemnification
You agree to indemnify and hold harmless DulyHandled from any third-party claim arising from your use of the service in violation of these Terms, your failure to obtain consent from contacts, or your misuse of the service.
11. Changes to these Terms
We may update these Terms from time to time. Material changes will be notified via email or in-product notice. Continued use of the service after changes take effect constitutes acceptance.
12. Termination
You may stop using the service at any time. We may suspend or terminate your account for violations of these Terms, for non-payment, or if required to maintain carrier compliance.
13. Governing law
These Terms are governed by the laws of the State of California, USA, without regard to conflict-of-law principles. Any dispute will be resolved in the state or federal courts located in California.
